Welcome to nowutalkai, Inc. ("nowutalkai", "we", "us", or "our"). These Terms and Conditions ("Terms") govern your access to and use of the nowutalkai services, including the nowutalk AI Voice Sales Agent and its related products and services (the "Service") provided through the nowutalkai app available for installation on your Shopify store. By installing and using the nowutalkai app, you agree to comply with and be bound by these Terms.
If you do not agree to these Terms, you must not install or use the Service.

1. Overview of the Service
nowutalkai is an advanced AI sales agent for e-commerce. The Service allows online store owners to engage in natural voice conversations with customers, building deeper relationships and providing business intelligence. Through the use of conversational AI, nowutalkai enhances customer experience while helping store owners gain valuable insights and analytics about their customers' behaviors.
2. Account Registration and Usage
To use the Service, you must have an active Shopify store and install the nowutalkai app on your store. You agree to provide accurate, current, and complete information when registering for the Service and to maintain the accuracy of this information at all times. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
3. Ownership of Conversational Data
nowutalkai retains full ownership of all conversational data, including verbal, text, and voice interactions, as well as metadata associated with these interactions, collected through your Shopify store ("Conversational Data"). By using the Service, you acknowledge and agree that all Conversational Data is owned by nowutalkai.
4. Data Usage
The Conversational Data collected through the Service may be used for the following purposes:
• Enhancing and improving the AI capabilities of the Service.
• Improving customer experience and communication flow.
• Providing business analytics services to store owners.
• Generating insights and reports regarding customer interactions and behaviors.
5. Data Security and Storage
nowutalkai is committed to protecting the security and privacy of your data. All Conversational Data collected through the Service is securely stored on Amazon Web Services (AWS). AWS provides a secure cloud infrastructure, ensuring that your data is protected from unauthorized access, alteration, or breaches. nowutalkai employs industry-standard security measures to protect the data, but we cannot guarantee complete security, as no data transmission or storage method is 100% secure.
6. Use of the Service
You agree to use the Service in accordance with applicable laws and regulations and not to use the Service for any unlawful or harmful activities, including but not limited to:
• Engaging in spamming, fraudulent, or deceptive practices.
• Interfering with or disrupting the operation of the Service or servers.
• Violating any third-party rights, including privacy and intellectual property rights.

7. Termination
nowutalkai may suspend or terminate your access to the Service at any time, with or without notice, if you violate these Terms or engage in any activities deemed harmful to nowutalkai or its users. Upon termination, you will no longer have access to the Service, and you must cease all use of the Service.

To the fullest extent permitted by law, nowutalkai will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use or inability to use the Service, including any loss of data or profit, even if Nowutalkai has been advised of the possibility of such damage.

12. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Delaware, United States of America. Any dispute arising from or related to these Terms shall be resolved through binding arbitration in Delaware, in accordance with the rules of the American Arbitration Association.
The arbitration shall take place in the state where nowutalkai is headquartered, and the language of the arbitration shall be English. Each party shall bear its own costs and expenses, including attorney's fees, and shall share equally in the fees and expenses of the arbitrator.
